Terms of Use
MoneyPass Group, LLC — effective August 5, 2026.
1. Agreement to these terms
These Terms of Use (the “Terms”) govern your access to and use of moneypassgroup.com (including its www subdomain) and any page, content, feature, or material made available through it (together, the “Site”). The Site is operated by MoneyPass Group, LLC, a Delaware limited liability company (“MoneyPass Group,” “we,” “us,” or “our”). References to our “affiliates” mean our subsidiaries and other entities under common control with us.
By accessing or using the Site, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Site.
If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.
The Site is intended for business users who are at least 18 years old. It is not directed to children or to anyone under 18.
2. Changes to these terms and to the Site
We may modify these Terms at any time. Changes take effect when we post the revised Terms with a new “Last updated” date, and your continued use of the Site after that date constitutes acceptance. Review these Terms periodically. Material changes will not apply retroactively to a dispute that arose before the change.
We may also change, suspend, restrict, or discontinue any part of the Site, and impose limits on features or access, at any time and without notice or liability. We do not guarantee that the Site or any content will remain available.
3. Limited license and permitted use
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access the Site and to view, download, and print content from it (the “Materials”) solely for your own internal business or personal informational use, provided you retain all copyright, trademark, and other proprietary notices.
No other right or license is granted. In particular, you may not reproduce, republish, distribute, publicly display, transmit, sell, license, rent, or otherwise commercially exploit the Materials, or make them available outside your organization, without our prior written consent.
4. Prohibited conduct
You agree not to:
- use the Site for any unlawful, fraudulent, deceptive, or malicious purpose, or in violation of any applicable law, regulation, or payment network rule;
- access or attempt to access any part of the Site, any system, or any data that you are not authorized to access, or circumvent any authentication, security, or access control measure;
- introduce any virus, worm, malware, ransomware, or other harmful code, or interfere with or disrupt the Site, its infrastructure, or any network or system connected to it;
- conduct any vulnerability scan, penetration test, load test, or other security assessment of the Site without our prior written authorization;
- use any robot, spider, scraper, crawler, or other automated means to access, monitor, index, or copy the Site or the Materials, except for search engine crawlers operating in accordance with the instructions in our robots.txt file;
- collect, harvest, or scrape names, email addresses, or other contact or personal information from the Site, or use the Site to send unsolicited communications;
- frame, mirror, or in-line link the Site, or use meta tags, hidden text, or similar techniques incorporating our name or marks, without our prior written consent;
- reverse engineer, decompile, or disassemble any part of the Site, or attempt to derive its source code or underlying structure;
- use the Site or the Materials to develop, train, fine-tune, or evaluate any machine learning or artificial intelligence model, or to create a competing or derivative product or service;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity; or
- take any action that imposes an unreasonable or disproportionately large load on our infrastructure.
We may investigate any suspected violation and cooperate with law enforcement in doing so.
5. Intellectual property
5.1 Ownership
The Site and the Materials — including all text, graphics, images, photographs, video, audio, data, software, code, design, layout, and their selection and arrangement — are owned by MoneyPass Group, its affiliates, or its licensors, and are protected by United States and international copyright, trademark, trade secret, patent, and other intellectual property laws. All rights not expressly granted in Section 3 are reserved.
5.2 Trademarks
MONEYPASS and the associated design marks appearing on the Site are registered trademarks owned by MoneyPass Group, LLC or one of its affiliates. MONEYPASS GROUP and the other names, logos, slogans, and trade dress appearing on the Site are trademarks or service marks of MoneyPass Group, its affiliates, or its licensors, whether or not registered.
Other product, service, and company names and logos appearing on the Site may be the trademarks of their respective owners and are used for identification purposes only; their appearance does not imply any endorsement, sponsorship, or affiliation.
You may not use any of our trademarks, logos, trade dress, or trade names without our prior written consent. Requests may be sent to [email protected].
5.3 Copyright complaints
If you believe content on the Site infringes your copyright, send a notice identifying the copyrighted work and the allegedly infringing material, your contact details, and the statements required by 17 U.S.C. § 512(c)(3), to:

6. Submissions and feedback
Other than personal information governed by our Privacy Policy, any comment, suggestion, idea, question, or other material you submit to us through the Site (“Feedback”) is non-confidential and non-proprietary. Do not send us confidential, proprietary, or trade secret information through the Site. By submitting Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit it for any purpose, without compensation, attribution, or any obligation to you. You represent that you own or otherwise control the rights in the Feedback and that it does not infringe or violate the rights of any third party.
7. Third-party content, links, and components
The Site may contain links to, or content and components from, third-party websites, resources, and services, including those of our clients, partners, industry organizations, service providers, and equity holders, and may incorporate third-party or open-source software components subject to their own licenses. We provide these for convenience and information only. We do not control, endorse, or assume responsibility for any third-party site or its content, products, services, availability, security, accuracy, or privacy practices. Your dealings with any third party are solely between you and that third party. A list of third-party and open-source components and their licenses is available on request from [email protected].
8. No advice; no offer of securities; no client relationship
Informational purposes only. The Materials are provided for general informational purposes and do not constitute legal, regulatory, compliance, accounting, tax, financial, investment, or other professional advice. Do not act or refrain from acting on the basis of the Materials without seeking advice from a qualified professional.
No offer of securities. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security or interest in MoneyPass Group, LLC or any of its affiliates, funds, or vehicles, in any jurisdiction. Any such offer, if made, would be made only through definitive offering documents to eligible investors and only where lawful.
No client, advisory, or fiduciary relationship. Access to the Site does not create any client, advisory, agency, partnership, joint venture, or fiduciary relationship between you and us. Our services are provided only under a written agreement, and the terms of that agreement — not these Terms or any Material on the Site — govern the services.
Product and service descriptions. Descriptions of our products, services, networks, coverage, availability, service levels, and capabilities are summaries for general information. They are not commitments, warranties, or representations, may not be current, vary by client and jurisdiction, and are subject to the applicable client agreement and to change without notice.
9. Forward-looking statements
The Site may contain forward-looking statements about our strategy, plans, expectations, growth, and future performance. These statements are based on current expectations and assumptions, involve known and unknown risks and uncertainties, and are not guarantees of future results. Actual outcomes may differ materially. We undertake no obligation to update any forward-looking statement, whether as a result of new information, future events, or otherwise, except as required by law.
10. Disclaimer of warranties
THE SITE AND THE MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, MONEYPASS GROUP, ITS AFFILIATES, AND ITS AND THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (THE “MONEYPASS PARTIES”) DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, THE MONEYPASS PARTIES DO NOT WARRANT THAT THE SITE OR THE MATERIALS WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, OR ERROR-FREE; THAT ACCESS WILL BE UNINTERRUPTED, TIMELY, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR ANY SERVER OR FILE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SITE AND THE MATERIALS.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the fullest extent permitted by law.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE MONEYPASS PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR THE MATERIALS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, AND WHETHER OR NOT ANY MONEYPASS PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE MONEYPASS PARTIES’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, THE MATERIALS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR ACCESS TO THE SITE IN THE THREE MONTHS PRECEDING THE CLAIM AND (B) ONE HUNDRED DOLLARS ($100).
These limitations apply even if a remedy fails of its essential purpose, and are a fundamental basis of the bargain between you and us. They do not apply to liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain limitations, in which case the limitations apply to the fullest extent permitted.
12. Indemnification
You will indemnify, defend, and hold harmless the MoneyPass Parties from and against any claim, demand, action, proceeding, loss, liability, damage, judgment, settlement, cost, or expense (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Site or the Materials, (b) your breach of these Terms, (c) your violation of any law or of the rights of any third party, or (d) any Feedback you submit. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us. You may not settle any matter in a way that imposes an obligation on any MoneyPass Party without our prior written consent.
13. Termination and suspension
We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice, including for any suspected violation of these Terms. The following survive termination: Sections 4, 5, 6, 7, 8, 9, 10, 11, 12, 15, 16, and 17.
14. Export controls and sanctions
The Site is controlled and operated from the United States. You agree to comply with all applicable United States and foreign export control, economic sanctions, and anti-boycott laws and regulations, including those administered by the US Department of the Treasury’s Office of Foreign Assets Control and the US Department of Commerce’s Bureau of Industry and Security. You represent that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive US sanctions, and that you are not a person with whom US persons are prohibited from dealing. We make no representation that the Site or the Materials are appropriate or available for use in any particular location; those who access the Site from outside the United States do so on their own initiative and are responsible for compliance with local law.
15. Electronic communications and notices
You consent to receive communications from us in electronic form, including by email to any address you provide and by posting on the Site, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. You may withdraw this consent by writing to [email protected], in which case we may decline to provide you access to parts of the Site that depend on electronic delivery. You must send notices to us at the address in Section 18.
16. Governing law, venue, and jury waiver
These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Wisconsin, without regard to its conflict of laws principles.
You and we submit to the exclusive jurisdiction and venue of the state and federal courts located in Milwaukee County, Wisconsin for any such dispute, and waive any objection to those courts on grounds of personal jurisdiction, venue, or inconvenient forum.
Each party knowingly and voluntarily waives any right to a trial by jury in any action arising out of or relating to these Terms or the Site.
Each party waives any right to bring or participate in any class, collective, consolidated, or representative action arising out of or relating to these Terms or the Site, to the fullest extent permitted by law.
Any claim arising out of or relating to these Terms or the Site must be brought within one (1) year after the claim arose, or it is permanently barred, except where a different period is required by law.
17. General
Entire agreement. These Terms, together with any notice or additional terms posted on the Site, are the entire agreement between you and us regarding the Site, and supersede any prior understanding on that subject. They do not amend, supersede, or affect any separate written agreement between you (or your organization) and us, which governs the services it covers. Our Privacy Policy is a notice describing our information practices; it is not incorporated into these Terms as a contractual obligation.
Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of it or of any other provision.
Assignment. You may not assign or transfer these Terms or any right under them without our prior written consent. We may assign them freely, including in connection with a merger, reorganization, financing, or sale of assets.
Relationship. Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and us.
Force majeure. We are not liable for any delay or failure to perform resulting from any cause beyond our reasonable control.
Third-party beneficiaries. The MoneyPass Parties other than MoneyPass Group, LLC are intended third-party beneficiaries of Sections 10, 11, and 12. There are no other third-party beneficiaries.
Interpretation. “Including” and “include” mean including without limitation. The singular includes the plural and vice versa. Headings are for convenience only and do not affect interpretation. These Terms will not be construed against a party on the basis of authorship.
California residents. Under California Civil Code § 1789.3, California residents may report a complaint regarding the Site to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by writing to 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
Accessibility. We aim to make the Site usable by people with disabilities and are working to conform to recognized accessibility standards. If you encounter a barrier, contact us at [email protected] and we will work to provide the information you need in an accessible form.
